1. OVERVIEW

This Agreement, referred to as the "Universal Terms of Service Agreement," is hereby established between you and the relevant entity within the Nebulawebhost group ("Nebulawebhost"). It becomes effective on the date you use this website ("Site") or electronically accept its terms. Unless specified otherwise in accompanying documents, the Nebulawebhost entity you contract with depends on your country of residence:

- If you reside in the United Kingdom (UK), Nebulawebhost UK Limited is the contracting entity.

- If you reside in Indonesia, PT WEB MEDIA TECHNOLOGY INDONESIA is the contracting entity.

- If your country is not listed, including EU countries, Nebulawebhost LLC. is the contracting entity.

This Agreement outlines the general terms for your use of the Site and the products or services obtained through it (collectively, the "Services"). It supplements, rather than replaces, any specific terms and conditions applicable to individual Services. By browsing or using the Site, or by purchasing Services, your electronic acceptance of this Agreement signifies that you have read, understood, and agreed to be bound by its terms, along with relevant policies and agreements referenced herein.

If the Services involve the processing of personal data or information, we will do so in compliance with our Privacy Policy and, if applicable, the Data Processing Addendum ("DPA"), which is incorporated into this Agreement. The Site and Services are designed for commercial or professional use. By utilizing them, you acknowledge that your purpose is commercial or professional. References to "we," "us," or "our" pertain to Nebulawebhost, while "you," "your," "User," or "customer" refer to the individual or entity accepting this Agreement, accessing your account, or using the Services. This Agreement does not confer third-party rights or benefits. Nebulawebhost reserves the right to change or modify this Agreement, and any incorporated policies or agreements, at its discretion. Such changes are effective immediately upon posting on the Site. Your continued use of the Site or Services after modifications constitutes acceptance of the last revised Agreement. If you disagree with the latest revision, refrain from using the Site or Services. Nebulawebhost may also notify you of changes via email, so it's essential to keep your Account information updated. Nebulawebhost is not liable for failures to receive email notifications due to inaccurate email addresses.

2. ELIGIBILITY, AUTHORITY

This website and its services are exclusively intended for users capable of entering into legally binding contracts according to applicable law. By utilizing this website or its services, you affirm and guarantee that you are (i) at least eighteen (18) years old, (ii) recognized as having the legal capacity to form binding contracts under the relevant laws, and (iii) not prohibited from purchasing or receiving the services under the laws of Cyprus or any other relevant jurisdiction. If you are agreeing to this contract on behalf of a corporate entity, you assert and confirm that you possess the legal authority to obligate such corporate entity to the terms and conditions outlined in this agreement. In this case, the terms "you," "your," "user," or "customer" refer to the said corporate entity. If Nebulawebhost discovers, post your electronic acceptance of this agreement, that you lack the legal authority to bind the corporate entity, you will assume personal responsibility for the obligations detailed in this agreement, including, but not limited to, payment obligations. Nebulawebhost will not be held liable for any loss or damage resulting from relying on any instruction, notice, document, or communication believed by Nebulawebhost to be authentic and originating from an authorized representative of your corporate entity. In instances where there is reasonable doubt about the authenticity of such instructions, notices, documents, or communications, Nebulawebhost reserves the right (without obligation) to request additional authentication from you. Additionally, you agree to abide by the terms of this agreement for transactions conducted by you, anyone acting as your agent, and anyone using your account or the services, whether or not authorized by you.

3. ACCOUNTS, TRANSFER OF DATA ABROAD

Accounts: To access certain features of this site or utilize some of the services, you must establish an account. When creating your account, you affirm and assure Nebulawebhost that all information provided is accurate, up-to-date, and complete. It is your responsibility to maintain the accuracy, currency, and completeness of your account details. Should Nebulawebhost suspect that your account information is false, inaccurate, outdated, or incomplete, Nebulawebhost retains the right, at its sole discretion, to suspend or terminate your account. You are solely accountable for all activities on your account, whether authorized by you or not. It is imperative to secure your account information, including your customer number/login, password, and payment method(s) as defined below. For security reasons, Nebulawebhost recommends changing your password at least every six (6) months for each account. Promptly inform Nebulawebhost of any security breaches or unauthorized account usage. Nebulawebhost assumes no liability for any losses incurred due to unauthorized account use. However, you may be held responsible for any losses incurred by Nebulawebhost or others resulting from your account, whether caused by you, an authorized person, or an unauthorized person.

International Data Transfer: If you access this site from a country different from the location of our servers, your interactions with us may involve the transfer of information, including your account details, across international borders. By visiting this site and engaging in electronic communication with us, you explicitly consent to such data transfers.

Account Management Access (Account Sharing): The services provided enable you to grant access, based on specified permissions, to your Nebulawebhost account for another Nebulawebhost customer. You retain the right to revoke any individual's access to your account at any given time. By granting authorization for someone to access your account, you acknowledge and consent to the following:

1- You have an established and trustworthy business or personal relationship with the designated person.

2- You voluntarily grant permission for that individual to access and modify your account.

3- Depending on the permissions granted, the designated person may have the ability to view personal information within your account, including billing details (excluding complete payment method information).

4- The designated person will have access to your account as it exists on the day access is granted, as well as any subsequent modifications (e.g., if access to specific hosting is granted, the person will be able to access any future add-on domains for that hosting).

5- If you explicitly agree (grant permission) for the designated person to contact Customer Support on your behalf, they will have the ability to reach out to our Customer Support, receive information, and (or) manage services on your behalf through Customer Support. This includes access to your chat history, containing any personal and other information. It is important to note that, under all circumstances, the designated person will not be permitted to perform certain actions, such as viewing or altering your account credentials (such as your password), deleting your account, or inviting others to access your account. By granting access to your account to any person, or by allowing them to take specific actions on your behalf, you assume full legal and financial responsibility. Additionally, you commit to releasing Nebulawebhost from any associated liability regarding your decision to grant access or any actions taken or not taken by the designated person concerning your account.

In seeking access to another customer's Nebulawebhost account, the Nebulawebhost customer agrees to utilize such access exclusively for the benefit of and in accordance with the authorization granted by the customer providing access. It is important to emphasize that Nebulawebhost is not party to the actual agreement between the Nebulawebhost customer granting access and the one requesting or receiving access to an account. In the event of a dispute between the involved parties, any such disagreements must be resolved directly between the contracting individuals, and Nebulawebhost is not responsible for mediating or resolving such disputes.

4. AVAILABILITY OF WEBSITE/SERVICES

Subject to the terms and conditions outlined in this Agreement and our other policies and procedures, we will make commercially reasonable efforts to ensure the availability of this Site and the Services around the clock, seven days a week. It is acknowledged and agreed that the Site may occasionally be inaccessible or inoperable for various reasons, including, but not limited to, equipment malfunctions, periodic maintenance, repairs, or replacements that we undertake, and causes beyond our reasonable control. These unforeseeable causes include, but are not limited to, interruptions or failures in telecommunication or digital transmission links, hostile network attacks, network congestion, or other failures. You acknowledge and agree that we do not have control over the continuous or uninterrupted availability of this Site or the Services. Consequently, we assume no liability to you or any other party regarding such matters. Nebulawebhost may introduce new Services, features to existing Services, or limited preview services from time to time. These are collectively referred to as "Trial Services." If you choose to use any Trial Services, your usage is subject to the following terms and conditions: You acknowledge that Trial Services are pre-release versions and may not function properly. You acknowledge that using Trial Services may expose you to unusual risks of operational failures. Trial Services are provided on an "AS-IS" basis, and we do not recommend using them in production or mission-critical environments. Nebulawebhost reserves the right to modify, change, or discontinue any aspect of the Trial Services at any time. Commercially released versions of the Trial Services may undergo substantial changes, and programs running with Trial Services may not work with the commercially released versions or subsequent releases. Nebulawebhost may limit the availability of customer service support time dedicated to the support of Trial Services. You agree to provide prompt feedback on your experience with Trial Services as reasonably requested by us, and we may use your feedback for any purpose, including product development, press materials, and marketing collateral. All information related to your use of Trial Services, including your experience and opinions, is confidential and may not be disclosed to third parties or used for any purpose other than providing feedback to Nebulawebhost. The Trial Services are provided "as is," "as available," and "with all faults." Nebulawebhost disclaims all warranties, statutory, express, or implied, to the fullest extent permitted by law. You confirm that you have the necessary rights and permissions to share all information required to provide the Services with Nebulawebhost. Services may be provided by independent contractors or third-party service providers. All paid support services are non-refundable.

5. GENERAL RULES OF CONDUCT

You acknowledge and agree that:
1- Your utilization of this Site and its Services, along with any content you submit, will be for commercial or professional purposes and will comply with this Agreement, as well as all applicable local, state, national, and international laws, rules, and regulations.
2- You shall not collect or harvest (or allow others to collect or harvest) any User Content (defined below) or any non-public or personally identifiable information about another User or any other individual or entity without their explicit prior written consent.
3- You shall not use this Site or its Services in a manner, as determined by Nebulawebhost in its sole and absolute discretion, that:
- Is illegal or promotes or encourages illegal activity;
- Promotes, encourages, or engages in child pornography or the exploitation of children;
- Promotes, encourages, or engages in terrorism, violence against people, animals, or property;
- Promotes, encourages, or engages in any spam or other unsolicited bulk email, or computer or network hacking or cracking;
- Promotes, encourages, or engages in the sale or distribution of prescription medication without a valid prescription;
- Infringes on the intellectual property rights of another User or any other individual or entity;
- Violates the privacy or publicity rights of another User or any other individual or entity, or breaches any duty of confidentiality owed to another User or any other individual or entity;
- Interferes with the operation of this Site or the Services found at this Site;
- Contains or installs any viruses, worms, bugs, Trojan horses, Cryptocurrency Miners, or other code, files, or programs designed to, or capable of, disrupting, damaging, or limiting the functionality of any software or hardware;
- Contains false or deceptive language, or unsubstantiated or comparative claims, regarding Nebulawebhost or Nebulawebhost’s Services.
- You shall not copy or distribute any part of this Site or its Services in any medium, except where expressly authorized by Nebulawebhost.
4- You shall not modify or alter any part of this Site or its Services, including related technologies.
5- You shall not access Nebulawebhost Content (defined below) or User Content through any technology or means other than through this Site itself, or as designated by Nebulawebhost.
6- You agree to back up all of your User Content for access and use when needed. Nebulawebhost does not warrant the backup of any Account or User Content, and you accept the risk of losing any or all of your User Content.
7- You shall not resell or provide the Services for commercial purposes, including any of Nebulawebhost’s related technologies, without Nebulawebhost's explicit prior written consent.
8- You agree to provide government-issued photo identification and/or government-issued business identification as required for identity verification when requested.
9- You are aware that Nebulawebhost may occasionally contact you about your account. You will be notified about such recordings, their purposes, and any other necessary information as required by applicable law. Additionally, you acknowledge and agree that, to the extent permitted by applicable law, any such recording(s) may be submitted as evidence in any legal proceeding where Nebulawebhost is a party. Nebulawebhost reserves the right to modify, change, or discontinue any aspect of this Site or its Services, including prices and fees, at any time.

6. YOUR USE OF NEBULAWEBHOST CONTENT AND USER CONTENT

In addition to the general rules outlined above, the regulations specified in this Section pertain specifically to your utilization of Nebulawebhost Content and User Content published on Nebulawebhost's corporate websites (i.e., those sites directly controlled or maintained by Nebulawebhost). These provisions are not designed to, and do not result in, the transfer of any ownership or licensed rights (including intellectual property rights) that you may possess in content posted on your hosted websites. With the exception of User Content and User Intellectual Property, all content on this Site and the Services—including, but not limited to, text, software, scripts, source code, API, graphics, photos, sounds, music, videos, interactive features, trademarks, service marks, logos, artwork, graphics, website templates, themes, widgets, literary work, computer code (including HTML), applications, and other media, designs, animations, interfaces, derivatives, and versions thereof, methods, products, algorithms, data, interactive features and objects, advertising and acquisition tools and methods, customized URLs, and all copyrightable materials ("Nebulawebhost Content")—are owned by or licensed to Nebulawebhost indefinitely. This content is subject to copyright, trademark, and/or patent protection in Cyprus and foreign countries, as well as other intellectual property rights under Cyprus and foreign laws. Nebulawebhost Content is provided to you "as is," "as available," and "with all faults" for your information and personal, non-commercial use only. It may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any purposes without the express prior written consent of Nebulawebhost. This Agreement does not grant any right or license under any copyright, trademark, patent, or other proprietary right. Nebulawebhost reserves all rights not expressly granted in and to the Nebulawebhost Content, this Site, and the Services. However, Nebulawebhost grants the User a non-exclusive, non-transferable, non-sublicensable, fully revocable, limited license to use the Nebulawebhost Content for the purpose of generating and displaying websites created through relevant Services provided by Nebulawebhost. This use is solely permitted under the terms and conditions of this Agreement and solely within the relevant Services. If certain Nebulawebhost Content is provided (bundled) with a specific Services plan, the User is allowed to use such Nebulawebhost Content solely within that plan.
User Content. Certain features of this Site or the Services may enable Users to view, post, publish, share, store, or manage (a) ideas, opinions, recommendations, or advice ("User Submissions"), or (b) literary, artistic, musical, or other content, including but not limited to photos and videos (collectively referred to as "User Content"). User Content encompasses all content submitted through your Account.
User Intellectual Property. Users own all intellectual property pertaining to User Content and any other materials created, developed, or connected to Services by Users, including designs, images, animations, videos, audio files, fonts, logos, illustrations, compositions, artworks, code, algorithms, SPIs, APIs, databases, interfaces, text, and literary works.
By posting or publishing User Content or User Intellectual Property on this Site or the Services, you represent and warrant to Nebulawebhost that (i) you have all necessary rights to distribute User Content or User Intellectual Property via this Site or the Services, either as the author or with the appropriate distribution rights, licenses, consents, and/or permissions obtained in writing from the copyright or other owner, and (ii) the User Content or User Intellectual Property does not violate the rights of any third party. Users are solely responsible for any consequences (including damages) and requirements related to the use of User Content or User Intellectual Property.
Security. You agree not to circumvent, disable, or otherwise interfere with the security-related features of this Site or the Services found at this Site. This includes features that prevent or restrict the use or copying of any Nebulawebhost Content or User Content or enforce limitations on the use of this Site or the Services, Nebulawebhost Content, or User Content therein.

7. NEBULAWEBHOST'S USE OF USER CONTENT

This Section pertains specifically to Nebulawebhost's utilization of User Content posted on its corporate websites (those sites directly controlled or maintained by Nebulawebhost). The stated provisions are not designed to, and do not result in, the transfer of any ownership or licensed rights, including intellectual property rights, that you may hold in the content posted on your hosted websites.
In General, you are solely accountable for all your User Content or User Content submitted through your Account, along with the consequences and requirements for its distribution. Regarding User Submissions, you acknowledge and agree that:
1- Your User Submissions are entirely voluntary.
2- Your User Submissions do not establish a confidential relationship or obligate Nebulawebhost to treat them as confidential or secret.
3- Nebulawebhost has no express or implied obligation to develop or use your User Submissions, and no compensation is due for any intentional or unintentional use of your User Submissions.
4- Nebulawebhost may be working on similar content, know of it from other sources, wish to develop similar content independently, or take other actions. Nebulawebhost shall own exclusive rights, including all intellectual property and proprietary rights, to any User Submissions posted on this Site, with the entitlement to unrestricted use and dissemination for any purpose, commercial or otherwise, without acknowledgment or compensation to you or anyone else.
Concerning User Content (Other Than User Submissions), if you have a website or other content hosted by Nebulawebhost, you retain all ownership or licensed rights.
By posting or publishing User Content, you authorize Nebulawebhost to use the intellectual property and proprietary rights in your User Content. You grant Nebulawebhost a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works, combine with other works, display, and perform your User Content in connection with this Site, the Services, and Nebulawebhost’s business, without restrictions and without payment or permission. Users of this Site are also granted a non-exclusive license to access and use your User Content as permitted through the functionality of this Site.
The licenses granted by you terminate within a commercially reasonable time after removing your User Content. Nebulawebhost may retain server copies of removed or deleted User Content but will not distribute, display, or perform them. 8. MONITORING OF CONTENT, ACCOUNT TERMINATION POLICY

Nebulawebhost typically does not screen User Content in advance, whether it is posted on a website hosted by Nebulawebhost or on this Site. Nevertheless, Nebulawebhost retains the right (though it is not obligated) to review and determine whether any User Content adheres to this Agreement. Nebulawebhost has the authority to remove any User Content, posted on a website hosted by Nebulawebhost or on this Site, and/or revoke a User's access to this Site or the Services offered here if the posted material violates this Agreement or if there is a violation of this Agreement in any other manner (as determined solely and absolutely by Nebulawebhost), at any time and without prior notice.
In addition, Nebulawebhost may terminate a User's access to this Site, the Services, or the Account (at Nebulawebhost's sole discretion) without notice if: (i) Nebulawebhost becomes aware or is informed that the Site or the Services are being used to promote, encourage, or participate in child pornography, the exploitation of children, or terrorism, or (ii) Nebulawebhost has reasonable grounds to believe that the User is a repeat offender. If Nebulawebhost decides to terminate your access to this Site, Services, or the Account, it may, at its sole and absolute discretion, delete and eliminate any data and files stored by you on its servers. It is important to note that engaging in illegal activities mentioned herein using any Service does not restrict Nebulawebhost's right to terminate the User's Account.

9. ADDITIONAL RESERVATION OF RIGHTS

Nebulawebhost retains the explicit authority to refuse, cancel, terminate, suspend, lock, or alter (including access to or control of) any Account or Services, including the right to cancel or transfer any domain name registration, at its sole and absolute discretion. This includes, but is not limited to, the following circumstances:
Correcting mistakes made by Nebulawebhost in the provision or delivery of any Services, including domain name registration. Safeguarding the integrity and stability of, and rectifying mistakes made by, any domain name registry. Assisting in fraud and abuse detection and prevention efforts, preventing activities that pose a threat to the stability of the network and/or servers. Compliance with court orders against you and/or your domain name or website, as well as adherence to applicable local, state, national, and international laws, rules, and regulations. Compliance with law enforcement requests, including subpoena requests. Adherence to any dispute resolution process. Defense against any legal action or threatened legal action, irrespective of whether such actions are eventually determined to have merit. Avoidance of civil or criminal liability on the part of Nebulawebhost, its officers, directors, employees, and agents, as well as Nebulawebhost’s affiliates, particularly in cases where legal action has been taken or threatened against Nebulawebhost. Nebulawebhost also reserves the right to terminate, without prior notice, any and all Services if, in Nebulawebhost's sole discretion, it is determined that you are harassing or threatening Nebulawebhost and/or any of its employees.
Additionally, Nebulawebhost explicitly reserves the right to access, edit, and/or otherwise modify your Account and/or Services, including User Submissions and User Content, to assist you during interactions with Customer Service via live chat, email, ticketing system, or any other method outlined in the Customer Service Policy. Nebulawebhost shall not be held liable for any loss or damage resulting from such actions.

10. NO SPAM, LIQUIDATED DAMAGES

No Spam Policy: We have a strict policy against the transmission of spam, and we closely monitor all traffic to and from our web servers to detect any indications of spamming activities. Customers found to be utilizing our products and services for the purpose of sending spam will undergo a thorough investigation. If we identify any issues related to spam, we will take appropriate action to resolve the situation.
Our definition of spam encompasses Unsolicited Commercial Email (UCE), Unsolicited Bulk Email (UBE), or Unsolicited Facsimiles (Fax). This includes the sending of email or facsimile messages to recipients as advertisements or in any other form without obtaining prior confirmed consent to receive such communications. Examples of spam include, but are not limited to:

Newsgroup Postings
Windows System Messages
Pop-up Messages (referred to as "adware" or "spyware" messages)
Instant Messages (using AOL, MSN, Yahoo, or other instant messenger programs)
Online Chat Room Advertisements
Guestbook or Website Forum Postings
Facsimile Solicitations
Text/SMS Messages
To use our products and services, customers must comply not only with all applicable laws and regulations but also adhere to our no spam policy. Commercial advertising or bulk emails/faxes may only be sent to recipients who have explicitly "opted-in" to receive such messages. These communications must include a legitimate return address, reply-to address, the sender's physical address, and an opt-out method in the footer of the email or fax. Upon our request, conclusive proof of opt-in may be required for an email address or fax number.
If we find that our services are being used in association with spam, we reserve the right to re-direct, suspend, or cancel web hosting, domain registration, email boxes, or other relevant services until the customer addresses the issue. The customer or registrant will be required to confirm via email that they will cease sending spam or having spam sent on their behalf. If the abuse persists after services have been restored, we may terminate hosting and email boxes associated with the relevant domain name.
We strongly encourage all customers and recipients of email generated from our products and services to report suspected spam. Reports can be sent to abuse@nebulawebhost.com.
Liquidated Damages: We reserve the right to immediately terminate any account that, in our sole and absolute discretion, is believed to be transmitting or otherwise connected with spam or other unsolicited bulk email.
Trademark and/or Copyright Claims: Nebulawebhost supports the protection of intellectual property. If you wish to submit a trademark claim or a copyright claim, please refer to Nebulawebhost’s Trademark and/or Copyright Infringement Policy, which is referenced above and available here.

12. LINKS TO THIRD-PARTY WEBSITES

This website and the services available on it may include links to external websites not owned or controlled by Nebulawebhost. Nebulawebhost disclaims any responsibility for the content, terms and conditions, privacy policies, or practices of these third-party websites. Additionally, Nebulawebhost does not exercise censorship or editorial control over the content of such third-party websites. By utilizing this website or the associated services, you explicitly release Nebulawebhost from any liability arising from your use of external websites. Nebulawebhost advises you to exercise caution and review the terms and conditions, privacy policies, and other relevant documents of any external website you may visit upon leaving this site or the services provided here.

Additionally, Nebulawebhost may, with or without prior notice, migrate you to the latest available version of the service.
By agreeing to this policy, you acknowledge and accept full responsibility for any loss or damage arising from such migration.
No Liability: Nebulawebhost shall not be held liable to you or any third party for any modification, suspension, or discontinuation of any services we provide or facilitate access to.
